OFFICIAL RULES - NO PURCHASE NECESSARY TO ENTER OR WIN
Entry into this Contest constitutes acceptance of these Official Rules
I. Sponsor
The "Ghosts in the Machine" (the "Contest") is sponsored by Massify LLC ("Sponsor").
II. Contest Objective / Description
The Contest will commence on February 8, 2008 and end on May 27, 2008 (the "Contest Period"). The Contest is designed to provide entrants ("Entrants") with an opportunity to have their idea for a motion picture horror film produced into a full length motion picture (the "Film") by After Dark Films LLC ("Film Production Company"), and/or to compete for the opportunity to fill principal cast positions in the actual production of the Film. The Contest will be conducted in several phases during which Entrants will submit their ideas for the Film (the "Pitch") and/or submit video auditions for the principal cast positions in the Film (the "Auditions") and during which registered users, as hereinafter defined, will vote on the Pitches and Auditions submitted to select finalist and winning Pitches and Auditions as described in these Official Rules. The description and dates of the different contest periods (some of which overlap) are as follows:
* The period during which Pitches may be submitted (the "Pitch Your Idea Period"), begins on February 8, 2008 12:01 AM ET and ends March 17, 2008, 11:59PM ET. All Pitches must be received by the end of the Pitch Your Idea Period.
* Beginning on March 5, 2008, 2:01AM ET, and ending on March 17, 2008, 11:59PM ET. (the "Vote for Top 10 Pitches Period"), all eligible Pitches received will be posted on the Contest Site for public voting to select ten (10) Finalist Pitches. NOTE: The Vote for Top 10 Pitches Period begins prior to the end of the Pitch Your Idea Period. Pitches may therefore continue to be submitted after voting has begun, however, Pitch Entrants are encouraged to submit their Pitches prior to the start of the Vote for Top 10 Pitches Period.
* Beginning on March 18, 2008, 2:01AM ET, and ending on March 25, 2008, 11:59PM ET (the "Vote For Winning Pitch Period"), the ten (10) Finalist Pitches will be posted on the Contest Site for public voting to determine the one (1) Winning Pitch.
* The period during which Auditions may be submitted begins on March 12, 2008, 2:01AM ET, and ends April 25, 2008, 11:59PM ET. (the "Audition For Cast Period"). All Auditions must be submitted during the Audition For Cast Period.
* Beginning on April 12, 2008, 2:01AM ET, and ending on April 25, 2008, 11:59PM ET, (the "Vote for Cast Period"), all eligible Auditions received will be posted on the Contest Site for public voting to select ten (10) Male and ten (10) Female Audition Finalists. NOTE: The Vote for Cast Period begins prior to the end of the Audition for Cast Period. Auditions may therefore continue to be submitted after voting has begun, however, Audition Entrants are encouraged to submit their Auditions prior to the start of the Vote for Cast Period.
* At the conclusion of the Vote for Cast Period, the top 20 Audition Finalists will be invited to participate in the filming of a scripted screen test. The filming of the Screen Test will take place between April 26, 2008, 2:01AM ET, and May 14, 2008, 11:59PM ET (the "Screen Test Period").
* At the conclusion of the Screen Test Period, the screen tests will be posted on the Contest Site for public voting to select the winning Male and Female lead roles. This voting period (the "Vote For Final Cast Period") will begin on May 15, 2008, 2:01AM ET, and end on May 26, 2008, 11:59PM ET.
III. Eligibility
The Contest is open to legal residents of the fifty United States and the District of Columbia who have reached the age of majority in their states of residence at the time of entry. The following are not eligible: Employees of Sponsor, Film Production Company, their respective parents, affiliates, subsidiaries, prize suppliers, advertising and promotion agencies involved with this Contest and the immediate family members (spouse, parent, child, sibling and their respective spouses) and/or those living in the same household of such employees. The Contest is void in Puerto Rico, Guam, the U.S. Virgin Islands and where prohibited by law.
IV. Registration
In addition to the eligibility requirements stated above, Pitch and Audition Entrants must first register at www.massify.com (the "Contest Site") and follow the onscreen instructions to create a validated Pro account, thereby becoming an eligible participant in the Contest (a "Participant"). Registration for a Pro account is free. Participants must validate their account through email verification, as described in the onscreen instructions. Each Participant will be required to provide his or her name, e-mail address, location, gender, and date of birth. Limit one registration per person.
Any Participant attempting to register more than once, under different names or with different email addresses, as determined by Sponsor in its sole discretion, is subject to disqualification at any time, and any votes received from such Participant will be disqualified. If at any time during the Contest Period a Participant cancels his or her Pro account, such Participant's Pitch, Audition and/or Votes will be deemed void and such Participant will no longer be eligible to participate in the Contest.
V. How to Submit a Contest Entry
A. How to Create / Submit a Pitch:
To create and submit your Pitch once you have registered in accordance with Section IV above, visit the Contest Site and follow the onscreen directions for "Creating a Pitch" using the Online Pitch Tool. Each Pitch must include: (i) a proposed film title; (ii) a logline not to exceed 100 words; (iii) a synopsis of the main plot not to exceed 1,000 words; and (iv) a pitch video("Required Pitch Elements"). All Required Pitch Elements must be completed by using the Online Pitch Tool. As part of the Pitch submission process, you will be required to signify that you have read these Official Rules and that you agree to be bound by these Official Rules, by the Terms of Service and Privacy Policy set forth at the Contest Site and by the decisions of the Sponsor, which are final and binding on all matters relating to this Contest. All Pitches must be received by March 17, 2008, 11:59PM ET, unless specified otherwise by Sponsor in its sole discretion. Entrants may submit multiple Pitches. To submit a Pitch, click the Submit Pitch Button. Required Pitch Elements may not be revised or deleted after they have been submitted. Entrants, however, may submit additional graphical or video materials to their Pitches at any time during the Pitch Your Idea Period and Vote for Winning Pitch Period. All Pitches will be posted on the Contest Site at www.massify.com. By submitting a Pitch, Pitch Entrants grant permission for their Pitches to be posted on the Contest Site for viewing and voting by visitors to the Contest Site.
B. How to Audition for a Male or Female Lead Role:
Entrants may audition to be cast as either the male or female lead role in the Film. ("Male or Female Lead Roles"). Auditions may be submitted with or without reference to the Winning Pitch. To submit your Audition once you have registered in accordance with Section I.V. above, visit the Contest Site and follow the onscreen directions. You must provide all required Audition information in the form and in the manner specified on the Contest Site, including an Audition video ("Audition Video"), in order to be eligible for consideration. Your Audition Video must demonstrate your potential as an actor or actress to fill a lead role in a feature film, and may consist of either an improvised scene or a personal actor's statement. Auditions may not be revised or deleted during the Vote for Cast Period. Limit one Audition per Entrant. As part of the Audition submission process, you will be required to signify that you have read these Official Rules and that you agree to be bound by these Official Rules, by the Terms of Service and Privacy Policy set forth at the Contest Site and by the decisions of the Sponsor, which are final and binding on all matters relating to this Contest. Further details, specifications, and instructions regarding the Audition and Audition Videos may be found at www.massify.com . All Auditions must be received by April 25, 2008, 11:59PM ET unless specified otherwise by Sponsor in its sole discretion. Any Audition that fails to comply with the specifications set forth on the Contest Site may be disqualified. All Auditions will be posted on the Contest Site at www.massify.com.. Entrants understand and grant permission for their Audition to be posted on the Contest Site for viewing and voting by visitors to the Contest Site. Entrants who have submitted Pitches may also submit Auditions. Sponsor reserves the right to allow various professionals with film related experience to post opinions regarding certain Pitches and Auditions on the Contest Site at any time during the Contest Period.
VI. Content Requirements
All Pitches, Auditions, and other comments or materials posted on the Contest Site (collectively, the "Materials") must comply with the following requirements:
All Materials must be the wholly original work of the Entrant, must not have been previously published or exploited in any manner or medium, must not have won previous awards and must not infringe upon the copyrights, trademarks, rights of privacy or publicity of any person, living or dead, or other rights of any person or entity. Entrant agrees to indemnify Sponsor and Film Production Company against any and all claims of infringement from any third party for any use by Sponsor and/or the Film Production Company of any Materials submitted by Entrant. Entrants shall be responsible for obtaining, and all Finalists will be required to submit, written releases from any individual appearing in any Materials submitted granting to Entrant the right to use his or her name, likeness and performance under the terms of these Official Rules In the event that any person appearing in any Materials is a minor, the release must be obtained from such person's parent or legal guardian. Sponsor reserves the right to request proof of such release in a form acceptable to Sponsor from any Entrant at any time during or after the Contest, and to disqualify any Entrant at any time who is unable to provide such proof. Entrants may not be, nor may Entrant work with parties in conjunction with their Materials, who: 1) are represented under contract (e.g., by a talent agent or manager) ; 2) have an acting or modeling contract that would make their appearance in the Materials a violation of any third party rights; or 3) are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit them from participating fully in this Contest, or from allowing Sponsor to use royalty-free, the Materials worldwide in all media in perpetuity.
Materials cannot and will not be sexually explicit or suggestive, contain full or partial nudity or any pornographic material or contain any content that is violent or derogatory of any ethnic, racial, gender, religious, professional or age group;
Materials cannot and will not contain any content that is otherwise lewd, offensive, inappropriate, or obscene;
Materials cannot and will not contain any content that is derogatory, profane, defamatory, libelous or slanderous;
Materials cannot and will not contain or promote the products or services of any company or entity or contain any trademarks, logos or trade dress or promote any brand or product or any kind;
Materials cannot and will not communicate messages or images inconsistent with the good will and positive images which Sponsor desires to promote;
Materials cannot and will not promote any activity that is unsafe, hazardous or dangerous;
Materials cannot and will not promote any activity that is prohibited by law;
Materials must meet all specifications set forth by the Sponsor on the Contest Site, including length and format; and
Materials cannot and will not be based in whole or in part on the life of any real person.
Pitches must be of the horror movie genre and cannot reference any major metropolitan areas or major landmarks.
Sponsor reserves the right in its sole and unfettered discretion to disqualify any Pitch/Audition and/or to remove any Materials from the Contest Site that it believes violate or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Official Rules or the terms of service for the Contest Site. The decision of the Sponsor on this and all matters pertaining to the Contest shall be final and binding. In the event of a dispute regarding the identity of the person submitting a Pitch or Audition, the Entrant will be deemed the person who registers at the Contest Site.
VII. Voting
Voting is opened to all registered users with a validated account ("Voters"). Any attempt to circumvent the following rules will result in the disqualification of all votes cast by that Voter.
A. Vote for Pitches
1. Vote for Top 10 Pitches Period
During the Vote for Top 10 Pitches Period, all eligible Pitches received during the Pitch Your Idea Period will be posted on the Contest Site www.massify.com for review and voting. Voters will be invited to cast votes for those pitches that they believe best meet the following criteria: Originality, Creativity, and Entertaining. ("Pitch Judging Criteria"). Voters may only vote once for each Pitch, but may vote for as many Pitches as they like. Any attempt by any Voter to cast multiple votes for any Pitch by using different names or email accounts or to circumvent these rules will result in the disqualification of all votes cast by that voter.
The ten (10) Pitches that have received the most votes during the Vote for Top 10 Pitches Period ("Finalist Pitches") will be declared the Finalist Pitches and advance to the Vote for Winning Pitch Period. In the event of a tie, the Vote for Top 10 Pitches Period will be extended on a daily basis until 11:59 PM ET each day, until the tie is broken, or as determined by Sponsor in its sole discretion.
2. Vote for Winning Pitch Period
During the Vote for Winning Pitch Period, Voters will be invited to cast a vote for their favorite Finalist Pitch based on the Pitch Judging Criteria described above. Voters may vote for one Finalist Pitch only, but may change their vote during the Vote for Winning Pitch Period. Any attempt by any Voter to vote for multiple Pitches, or to cast multiple votes for any Pitch by using different names or email accounts or to circumvent these rules will result in the disqualification of all votes cast by that voter. The Finalist Pitch that receives the most votes during the Vote for Winning Pitch Period will be deemed the potential Winning Pitch. In the event of a tie, the Vote for Winning Pitch Period will be extended until on a daily basis until 11:59 PM ET each day until the tie is broken, or as determined by Sponsor in its sole discretion.
At the conclusion of the Vote for Winning Pitch Period, on or about March 25, 2008, 11:59PM, the Entrant who submitted the potential Winning Pitch will be notified using the information he or she provided on his or her registration form and will be required to complete declarations of original work of authorship, an affidavit of eligibility, and, unless restricted by law, a liability and publicity release form as well as execute and/or provide any other documents which may be required or requested by Sponsor and/or Film Production Company ("Production Documents"), including but not limited to, a valid passport, and confirm availability for the dates of pre-production and production of the Film. Such Entrant will have Seventy-Two (72) hours to respond by e-mail or telephone, and seven (7) total days to complete and return all Production Documents required, before being deemed the "Pitch Grand Prize Winner." If such Entrant does not complete and return all forms within the specified time period, he or she may be disqualified and another potential Winning Pitch may be chosen from among Finalist Pitches with the next highest vote count, at Sponsor's sole and absolute discretion.
B. Vote for Cast
1. Vote for Cast Period
During the Vote for Cast Period, all eligible Auditions received will be posted on www.massify.com for review and voting. Voters will be invited to cast votes for those Auditions for the Male and Female Lead Roles that they believe best meet the following criteria: talent, potential, and appeal. ("Audition Judging Criteria"). Voters may vote for as many Auditions as they like, but may vote for each Audition only once. Any attempt by a Voter to vote for any Audition multiple times by using different names or multiple email accounts or to otherwise circumvent these Official Rules will result in disqualification of all votes cast by that Voter.
The ten (10) Audition Entrants who have received the most votes for the Male Lead Role, and the ten (10) Audition Entrants who have received the most votes for the Female Lead Role will be deemed potential Audition Finalists. In the event of a tie for a role, the Vote for Final Cast Period will be extended for that role only on a daily basis until 11:59 PM ET, each day until the tie is broken or as determined by Sponsor in its sole discretion.
2. Final Audition Voting Period
During the Final Audition Voting Period, the Screen Tests (as described in Section VIII below) will be posted on www.massify.com for review and voting. Voters will be invited to cast a vote for their favorite Audition Finalist for the Male and Female Lead Roles, on the basis of the Judging Criteria described above. Voters may vote for only one Audition Finalist for the Male Lead Role, and one Audition Finalist Role for the Female Lead Role, but may change their vote during the Vote for Final Cast Period. Any attempt by a Voter to vote for any Audition Finalist multiple times by using different names or multiple email accounts or to otherwise circumvent these Official Rules will result in disqualification of all votes cast by that Voter.
The Audition Finalist who has received the most votes for the Male Lead Role, and the Audition Finalist who has received the most votes for the Female Lead Role will be deemed the potential Male and Female Lead Winners. The Audition Finalists who have received the next highest vote counts for the Male Lead Role and the Female Lead Role will be deemed the potential Runners Up. In the event of a tie for a role, the Vote for Final Cast Period will be extended for that role on a daily basis until 11:59 PM ET, each day, until the tie is broken or as determined by Sponsor in its sole discretion.
Potential Male and Female Lead Winners will be notified using the information he or she provided on his or her registration form on or about May 27, 2008.
VIII. Screen Tests
During the Screen Test Period, the twenty (20) Audition Finalists will travel to Los Angeles, California (travel expenses and lodging to be paid by Film Production Company) to participate in a scripted screen test, consisting of both a solo scene and a duo scene, which will be shown on the Contest Site and will provide the basis for Final Audition Voting. (the "Screen Test"). Pairings of Audition Finalists for the duo scene portion of the Screen Test will be determined by a random drawing to be conducted by Film Production Company.
Screen Test expenses to be paid by Film Production Company consist of round trip air transportation to/from the airport closest to the Audition Finalist's home, double occupancy hotel accommodations for all nights in Los Angeles, California, and a per diem of $35.00 to cover necessary expenses, including meals. All other expenses not specified herein are the Audition Finalist's responsibility.
Audition Finalists must be available to travel to Los Angeles and participate in the Screen Tests on dates specified by Film Production Company. Each Audition Finalist will be required to execute a Participation Agreement, an affidavit of eligibility, and, unless restricted by law, a liability and publicity release form as well as execute and/or provide any other documents which may be required or requested by Film Production Company ("Screen Test Documents"), including, but not limited to, a valid passport, and confirm availability for the dates of pre-production and production of the Film, prior to travel to Los Angeles for the Screen Test. If any Audition Finalist is unavailable to travel to Los Angeles during the Screen Test Period or fails to execute or provide the Screen Test Documents, or is unavailable on the dates of pre-production or production of the Film, such Audition Finalists may be disqualified and replaced with the Entrant with the next highest vote total for the relevant role, at Film Production Company's sole and absolute discretion.
IX. Prizes
The Pitch Grand Prize Winner will have the opportunity to see his/her film produced into a motion picture film with a budget of no less than $900,000 and no greater than$1,000,000 by Film Production Company. The Pitch Grand Prize Winner will receive a producer credit and original story by credit on the Film, will have the opportunity to participate with pre-production and production of the Film, and will receive travel and accommodations to the Film location provided by Film Production Company as specified in the Participation Agreement. Pitch Grand Prize Winner's participation with pre-production and production of the Film is within Film Production Company's sole discretion, and if Film Production Company determines that the Pitch Grand Prize Winner's presence in either pre-production or production of the Film is unproductive, becomes disruptive, or otherwise is not making a positive contribution to the Film, Film Production Company reserves the right to remove the Pitch Grand Prize Winner from any involvement with the Film.
The Male and Female Lead Winners will be considered to play the actual male and female lead roles in the Film and will receive travel and accommodations to the Film location provided by Film Production Company as specified in the Participation Agreement. The Runners Up will be considered to play the male and female supporting roles on the Film and will receive travel and accommodations to the Film location provided by Film Production Company as specified in the Participation Agreement. Male and Female Lead Winners' and Runners Up ("Role Winners") roles in the Film are within Film Production Company's sole discretion. Neither Sponsor nor Film Production Company guarantees that Role Winners will be offered the actual lead or supporting roles, and if Role Winners are not selected, they will have the opportunity, in the sole discretion of Film Production Company, to play an onscreen role, of undetermined length in the Film. If Film Production Company determines that any Role Winner's presence in pre-production or production of the Film becomes disruptive, unproductive, or his/her performance in the Film is unacceptable to Film Production Company for any reason, Film Production Company reserves the right to remove the Role Winner from pre-production or production of the Film. All aspects of production and distribution of the Film will be subject to the sole control and approval of Film Production Company, including but not limited to budget, location, timing, casting, script, and form and channels of distribution. Pitch Grand Prize Winners and Role Winners (collectively, "Winners") will be required to execute a Participation Agreement and such other documentation as may be required by Film Production Company in its sole discretion in order to comply with applicable laws, regulations and union codes as a condition of participation in the Film. Each Winner's participation in the Production of the Film shall also be subject to applicable legal requirements. The Film will not be produced in accordance with the requirements of any collective bargaining agreement. Winners are solely responsible for all costs expenses, or fees associated with acceptance and/or use of the prize not specified herein, including without limitation any and all taxes.
In the event production and/or distribution of the Film does not occur or is not completed for any reason (See Section XI below), Film Production Company shall provide alternate prizes to the Pitch and Audition Winners as follows: $2500.00 to the Pitch Winner and $1000.00 each to the Audition Winners.
All Winners hereby acknowledge that their Pitch or Audition, and all other Materials submitted in connection with the Contest ( the "Work") shall be deemed to be a work made for hire for Sponsor and that Sponsor shall be the sole and exclusive owner, in perpetuity, throughout the world, of all right, title and interest in and to said Work, including without limitation, all copyrights in and to the Work, and all renewals and extensions thereof, and that Sponsor shall have the right to exploit the Work in any manner and media it shall elect throughout the world without restriction without any additional permission or compensation. In the event that for any reason, the Work, or any part thereof is deemed not to be a work made for hire, then Winner hereby agrees to assign all rights in and to such Work to Sponsor and to execute such documents as may be necessary to evidence such assignment. Winners further acknowledge that Film Production Company shall own all right, title and interest in and to the Film and shall have the right to exploit the Film in any manner and media it shall elect throughout the world in perpetuity without any permission from or compensation to any winner other than may be expressly set forth in any Participation Agreement executed by such Winner.
X. Conditions of Participation
Finalists and Winners will be required to execute and return all required documentation within the time periods specified in these Official Rules or they may be disqualified. Sponsor reserves the right to conduct background checks on all potential Winners prior to award of prize. Sponsor also reserves the right, in its sole and absolute discretion, to disqualify any individual who has been charged with or convicted of a felony or misdemeanor, is delinquent on child support, spousal support, tax payments or any other government ordered payment, has or is suspected of failing to comply with any provision of the Official Rules or Terms of Use governing the Site, including, but not limited to, having made any false statements in connection with his/her participation in the Contest or acceptance of any prize. Should it be determined that a Finalist or Winner has made a false statement in any document required by Sponsor, Sponsor reserves the right to disqualify the Finalist or Winner and to require the return of any prize that may have been awarded. If a potential Winner is disqualified for any reason or if any prize/prize notification is returned as undeliverable, Sponsor reserves the right to award the prize to the Entrant who achieved the next highest vote total.
All Entrants other than the Winners shall retain, any and all rights in and to Pitches, Auditions, and other Materials ("Content") submitted and/or posted on the Contest Site. However, such Entrants grant Sponsor the non-exclusive and irrevocable right and license to use, reproduce, distribute, and publicly display Entrants' Content on Sponsor's Contest Site or through its services (such as e-mail notification and RSS feeds) free of charge. All Entrants grant Sponsor and Film Production Company the non exclusive and irrevocable right and license in perpetuity to use, reproduce and display their Content in any and all media for purposes of advertising, promoting and publicizing the Contest, Contest Site and/or Film. By entering the Contest, Entrants also grant other Contest Site users the rights necessary to make use of all of the services of the Contest Site for viewing and sharing their Content.
By submitting a Pitch, Entrants agree that Sponsor may obtain other Pitches that are similar or identical in theme, format or other respects to that submitted by Entrant. Entrants expressly waive any and all claims that they may have against Sponsor based on any claim that any Pitch entered into the Contest is similar or identical to their Pitches. In the event that more than one Pitch with a similar or identical Pitch is brought to Sponsor's attention, the first such Pitch received will be accepted. Entrants further agree that Sponsor shall not have any liability to Entrants for any direct, indirect, contributory, vicarious, secondary or other infringement or protection of any copyright in or to Entrant's Pitch.
XI. General Conditions
Winner grants permission (except where prohibited by law) to use Winner's names, hometowns, likenesses, photographs, and Materials submitted for advertising, promotion and publicity in connection with the Contest and/or Film in any and all media now or hereafter devised throughout the world in perpetuity without additional compensation, notification or permission. No responsibility is assumed for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed entries. Sponsor is not responsible for technical malfunctions of electronic equipment, computer online systems, servers or providers, computer hardware or software failure, phone lines, failure of any entry to be received by Sponsor on account of technical problems, traffic congestion on the internet or the website or for any other technical, human or other problems or errors, including telecommunication, miscommunication or failure and failed lost, delayed, incomplete, garbled or misdirected communications or for other errors or malfunctions of any kind whether network, printing, typographical, human or otherwise relating to or in connection with the Contest. Sponsor reserves the right to modify, suspend, or terminate the Contest in the event it becomes infected by a computer virus or is otherwise technically impaired and to cancel or suspend the Contest in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity, or proper play of the Contest, including without limitation, earthquake, flood, fire, national disaster, act of God, labor controversy, civil disturbance, disruption of public markets, terrorism or other conflict. In the event of termination or cancellation, Sponsor may in its discretion determine the winners using all non-suspect eligible entries received up to time of cancellation using the judging procedure outlined above. In the event of a dispute regarding entries received from multiple users having the same email account, the authorized subscriber of the mail account at the time of entry will be deemed to be the Entrant. Authorized subscriber is the natural person who is assigned the email address by the Internet Service Provider, online Service Provider or other organization responsible for assigning email addresses. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Contest or the Contest Site or acting with intent to annoy, abuse, threaten, or harass any other contestant, Sponsor or to otherwise be acting in violation of these Official Rules. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE THE CONTEST SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO DISQUALIFY SUCH PERSON FROM THE CONTEST.
Film Production Company reserves the right, without liability of any kind to any Entrant, to suspend, cancel, modify, limit or not complete production and/or distribution of the Film for reasons of commercial impracticability, events beyond its control, including without limitation, earthquake, flood, fire, national disaster, act of God, labor controversy, civil disturbance, disruption of public markets, terrorism or other conflict, or for any other valid reason.
Except where prohibited by law, as a condition of participation in the Contest each Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in the State of New York, County of New York; (2) any and all claims, judgments, and award shall be limited to actual out of pocket costs incurred but in no event attorneys fees; (3) no punitive incidental, special, consequential or other damages, including without limitation, lost profits may be awarded; (4) Entrant hereby waives all rights to claim special damages and all rights to have such damages multiplied or increased;, (5) Participant hereby waives all rights to seek injunctive relief against any party, including without limitation, Sponsor, Film Production Company, or any other Participant, in connection with the Contest or Film; and (6) Participant agrees to hold harmless and indemnify Sponsor and Film Production Company for any claims, losses, damages and expenses, including reasonable attorney's fees, incurred by Sponsor and/or Film Production Company and arising from Participant's participation in the Contest and/or Film, including without limitation Participant's violation of the copyrights, trademarks, or other intellectual property or other rights of any person or entity. All issues, questions and disputes concerning the validity, interpretation and enforceability of these Official Rules shall be governed by and construed in accordance with the laws of the State of New York applicable to contracts made and performed entirely therein.
XII. Privacy Policy
By participating in the Contest, all Entrants agree that Sponsor shall have the right to use all personal information provided to Sponsor in accordance with Sponsor's Privacy Policy posted on the Contest Site.
