The "Massify Student Film Grant" (the "Contest") is sponsored by Massify LLC ("Sponsor").

Back to top Contest Objective / Description

The Contest is designed to provide Entrants with an opportunity to have their student film project produced with funds provided by the Sponsor. Entrants will submit, for public voting, a title, a logline (as explained on the Contest Website), a synopsis, a draft script, a cast breakdown, and any other optional material that demonstrates Entrant's promise as a filmmaker (collectively, the "Pitch"). In addition, Finalists will be required to submit a Pitch Video (see Section V.A. below). The Entrant whose Pitch received the most votes will receive a $10,000 production grant to produce a film based on the Winning Pitch. Pitches may be submitted beginning October 22, 2007 and must be received no later than November 18, 2007. The Contest judging will be conducted in two phases: (1) a two week Pitch submission phase during which Pitches may be submitted, and Finalists will be determined by a preliminary public vote (("Phase One") see Section VII(A)); and (2) a one week final public voting phase that will determine the Winner, and will commence immediately at the conclusion of Phase One. The Contest is open to legal residents of the fifty United States and the District of Columbia who have reached the age of majority in their states of residence at the time of entry and who are currently enrolled at one of the following institutions: New York University, Columbia University, Pratt Institute, The New School, Hunter College of the City University of New York, The City College of The City University of New York, Brooklyn College of the City University of New York, St. John's University, Fordham University, The Cooper Union, the School of Visual Arts, State University of New York at Purchase, Sarah Lawrence College, and Queens College at the City University of New York ("Qualified Institutions"). Entrants must have an ".edu" email address from one of the Qualified Institutions to participate. The following are not eligible (i) Employees of Sponsor, and their immediate family members (spouse, parent, child, sibling and their respective spouses) and/or those living in the same household of such employees, and Sponsor's respective parents, affiliates, subsidiaries, prize suppliers, advertising and promotion agencies. The Contest is void in Puerto Rico, Guam, the U.S. Virgin Islands and where prohibited by law. Entrants may be required to provide proof of their attendance at one of the aforementioned Qualified Institutions.

Contest will commence on October 22, 2007 and end on November 25, 2007 (the "Contest Period"). You must be a registered user of the Contest Site with a validated Pro account ("Registrant") in order to enter the Contest. To register, visit www.massify.com (the "Contest Site") and follow the onscreen directions to complete the online registration form, select the free Pro upgrade option, and validate your account through email verification, as described in the onscreen instructions. You will be required to provide your name, e-mail address, location, gender, and date of birth. As part of the registration process, you will be required to signify that you have read these Official Rules and that you agree to be bound by these Official Rules, by the Terms of Service and Privacy Policy set forth at the Contest Site and by the decisions of the Sponsor, which are final and binding on all matters relating to this Contest. Limit one registration per person. Any person attempting to register more than once, under different names or with different email addresses, as determined by Sponsor in its sole discretion, is subject to disqualification at any time, and any votes received from such person will be disqualified. If at any time during the Contest Period a Registrant cancels his or her Pro account, such Registrant's Pitch will be deemed void, and such Registrant will no longer be eligible to participate in the Contest.

How to Create / Submit a Pitch

Pitch submissions may be made beginning at October 22, 2007 and must be received no later than November 18, 2007. To create and submit your Pitch once you have registered in accordance with Rule IV above, visit the Contest Site and follow the onscreen directions for "Creating a Pitch" using the Online Pitch Tool. Each Pitch must include (i) a proposed film title; (ii) a draft script not to exceed 30 pages in standard film script format; (iii) a synopsis of the main plot; (iv) a logline; and (v) a cast breakdown. ("Required Pitch Elements"). All required fields on the Online Pitch Form must be completed. Entrants may submit multiple Pitches. To submit the Pitch, click the Submit Pitch Button. Required Pitch Elements may not be revised or deleted after they have been submitted, however, Entrants may submit additional materials to their Pitch, such as a Pitch Video at any time during Phase One.

Finalist Submissions

In addition to the foregoing requirements, Finalists will be required to submit a Pitch Video, along with all necessary permissions, clearances and releases, including but not limited to, talent, location and music releases. If a Pitch Video has not been uploaded within 72 hours of the commencement of Phase Two, Finalist will be disqualified and replaced by the next eligible Finalist. (Finalist Pitch Video specifications and submission instructions available on the Contest Site). Finally, once the Winning Pitch is determined, the Grand Prize Winner will be required to submit a proposed production budget for approval by Sponsor.

All Pitches or materials posted on the Contest Site (collectively, the "Materials") must comply with the following requirements:

Content cannot be sexually explicit or suggestive, contain full or partial nudity or any pornographic material or contain any material that is violent or derogatory of any ethnic, racial, gender, religious, professional or age group;

Materials cannot contain any content that is otherwise lewd, offensive, inappropriate, or obscene;

Materials cannot contain any content that is derogatory, profane, defamatory, libelous or slanderous;

Materials cannot contain or promote the products or services of any company or entity or contain any trademarks, logos or trade dress or promote any brand or product or any kind;

Materials cannot communicate messages or images inconsistent with the good will and positive images which Sponsor desires to promote

Materials cannot contain any content that would infringe upon the copyrights, trademarks, rights of privacy or publicity of any person, living or dead, or any entity;

Materials cannot promote any activity that is unsafe, hazardous or dangerous

Materials cannot promote any activity that is prohibited by law; and

Your Pitch must be your original work, must not have been previously published and must not infringe the copyright, trademark, privacy, publicity or other intellectual property rights of any person or entity. Your Pitch may not contain any material or elements not owned by you or which is subject to any third party rights, unless permission has been obtained. By submitting a Pitch, you grant Sponsor permission to display your Pitch at the Contest Site for public rating.

Your Pitch must meet all specifications set forth by the Sponsor on the Contest Site, including length and format.

Sponsor reserves the right in its sole and unfettered discretion to disqualify any Pitch and/or to remove any Materials from the Contest Site that it believes violate or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Official Rules or the terms of service for the Contest Site. The decision of the Sponsor on this and all matters pertaining to the Contest shall be final and binding. In the event of a dispute regarding the identity of the person submitting the Pitch, the Entrant will be deemed the person who registers at the Contest Site.

Phase One: Pitches

Each registrant from a Qualified Institution will be eligible to vote for their favorite Pitches, and will receive a limited number of invitations to visit the Contest Site that may be sent to members of the general public in order to vote and comment on Pitches. Beginning at November 5, 2007 and ending at November 18, 2007 students who attend the Qualified Institutions or those who have received invitations to the Contest Site may cast votes for their favorite Pitches provided they have validated accounts. ("Voters"). Voters must have reached the age of majority in their states of residence at the time of voting. Sponsor may, in its sole discretion, send Contest Site invitations to industry professionals such as actors and film directors. Voters may vote for each Pitch only once, unless the Voter withdraws the vote before the conclusion of the Contest. If a vote is withdrawn, the Voter may elect to vote for that Pitch again before the conclusion of the Contest. Voters will have the opportunity to rate and comment on Pitches, but such ratings and comments will not be considered when determining Finalists. Any attempt to circumvent these rules will result in the disqualification of all votes cast by that voter.

Phase Two: Final Round

The ten (10) Entrants whose Pitches that have received the most votes during the Phase One voting period ("Finalists") will enter Phase Two. In the event of a tie, both Pitches will enter the final round. Phase Two voting shall commence beginning at November 19, 2007 and ending at November 25, 2007. All vote counts from Phase One will be cleared, and Voters may cast votes for their favorite Finalist Pitches. The Finalist whose Pitch Video has received the most votes during Phase Two voting will be deemed the Potential Winner. In the event of a tie, the Phase Two voting period will be extended as determined by Sponsor in its sole discretion.

Potential winner will be determined on or about November 26, 2007 and will be notified by mail, telephone, or email, at the contact information provided on the registration form on or about November 27, 2007. Potential Grand Prize Winner will be required to execute and return an Affidavit of Eligibility, Liability and Publicity Release, Participation Agreement, and Production Agreement as well as any other documents which may be required or requested by Sponsor, all of which must be received fully executed within seven (7) days of date printed on notification, or he/she may be disqualified. Sponsor reserves the right to conduct background checks on all potential winners prior to award or prize. Sponsor also reserves the right, in its sole and absolute discretion, to disqualify any individual who has been charged with or convicted of a felony or misdemeanor, is delinquent on child support, spousal support, tax payments or any other government ordered payment, has or is suspected of failing to comply with any provision of the Official Rules or Terms of Use governing the Site, including, but not limited to, failure to execute and return any required documentation within the time period required, or for having made any false statements in connection with his/her participation in the Contest or acceptance of any prize. Should it be determined that winner has made a false statement in any document required by Sponsor after the prize has been awarded, Sponsor reserves the right to disqualify the winner and require the return of any prize. If a potential winner is disqualified for any reason or if any prize/prize notification is returned as undeliverable, Sponsor reserves the right to award the prize to the Entrant who achieved the next highest vote total.

The Grand Prize winner will receive a budget of Ten Thousand ($10,000) Dollars to be used solely for production costs to produce a film (the "Winning Film") based on the Winning Pitch. The Winning Film must be produced in accordance with Sponsor's development and production procedures to produce a film (the "Winning Film") based on the Winning Pitch and deliver a final cut by May 30, 2008. All aspects of the film production will be subject to the approval of Sponsor, including but not limited to budget, location, timing, casting and script. The Grand Prize Winner's participation in the production of the Winning Film shall also be subject to applicable legal requirements and such other requirements as may be imposed by the collective bargaining agreements of those unions having jurisdiction over the production of the Winning Film. The Grand Prize Winner assumes responsibility for compliance with any such requirements and obligations that may arise. Grand Prize Winner must provide all necessary permissions, clearances and releases, including, but not limited to, talent, location and music releases. Grand Prize Winner is solely responsible for all costs expenses, or fees associated with acceptance and/or use of the prize not specified herein, including without limitation any and all taxes.

The Grand Prize Winner hereby grants Sponsor the exclusive rights to display the Winning Film for a period of thirty days after its completion in any digital medium and Grand Prize Winner agrees that neither he/she nor anyone under his/her control will post the Winning Film on any view viewing site, including, but not limited to, YouTube or MySpace. Grand Prize Winner also grants the Sponsor the non-exclusive and irrevocable right and license to use, reproduce, distribute, and publicly display the film in perpetuity, including the right to sell advertising on the digital medium where the Winning Film is displayed, and to otherwise exploit the Winning Film for commercial purposes. The Sponsor claims no intellectual property rights in the Winning Film and Winner is free to exploit the Film for commercial purposes at any time immediately following the initial 30 day period.

Back to top Conditions of Participation

Entrants shall retain, any and all rights in and to Pitches, Pitch Videos, and other Materials ("Content") submitted and/or posted on the Contest Site, however, Entrants grant Sponsor the non-exclusive and irrevocable right and license to use, reproduce, distribute, and publicly display Entrants' Content on Sponsor's website or through its services (such as e-mail notification and RSS feeds) free of charge. You also grant Sponsor, the non exclusive and irrevocable right and license to use, reproduce and display your Content in any and all media for purposes of advertising, promoting and publicizing the Website. By entering the Contest, Entrants also grant other website users the rights necessary to make use of all of the services of the website for viewing and sharing your content.

By submitting a Pitch, Entrants agree that Sponsor may obtain other Pitches that are similar or identical in theme, format or other respects to that submitted by Entrant. Entrants expressly waive any and all claims that they may have against Sponsor based on any claim that any Pitch entered into the Contest is similar or identical to their Pitches. In the event that more than one Pitch with a similar or identical Pitch is received, the first such Pitch received will be accepted. Entrants further agree that Sponsor shall not have any liability to Entrants for any direct, indirect, contributory, vicarious, secondary or other infringement or protection of any copyright in or to Entrant's Pitch.

At Sponsor's sole discretion, Sponsor may elect to film a "making of" video of the Winning Film. (the "Making of Video") By submitting a Pitch Entrants agree to participate in the Making of Video, and to provide any documentation and production access deemed necessary by Sponsor in conjunction with the Making of Video, including, but not limited to, all required clearances and releases. Winner will not receive any additional compensation for participating in the Making of Video. Sponsor shall have the full and exclusive right to edit, stream post, record, publish, reproduce, print, distribute or otherwise use and exploit the Making of Video in any and all media, whether now known or hereafter devised for all purposes without limitation or additional compensation, notification or permission.

Winner grants permission (except where prohibited by law) to use winner's names, hometowns, likenesses, photographs, and Materials submitted for advertising, promotion and publicity in any and all media now or hereafter devised throughout the world in perpetuity without additional compensation, notification or permission. No responsibility is assumed for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed entries. Sponsor is not responsible for technical malfunctions of electronic equipment, computer online systems, servers or providers, computer hardware or software failure, phone lines, failure of any entry to be received by Sponsor on account of technical problems, traffic congestion on the internet or the website or for any other technical, human or other problems or errors, including telecommunication, miscommunication or failure and failed lost, delayed, incomplete, garbled or misdirected communications or for other errors or malfunctions of any kind whether network, printing, typographical, human or otherwise relating to or in connection with the Contest. Sponsor reserves the right to modify, suspend, or terminate the Contest in the event it becomes infected by a computer virus or is otherwise technically impaired and to cancel or suspend the Contest in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity, or proper play of the Contest, including without limitation, earthquake, flood, fire, national disaster, act of God, labor controversy, civil disturbance, disruption of public markets, terrorism or other conflict. In the event of termination or cancellation, Sponsor may in its discretion determine the winners using all non-suspect eligible entries received up to time of cancellation using the judging procedure outlined above. In the event of a dispute regarding entries received from multiple users having the same email account, the authorized subscriber of the mail account at the time of entry will be deemed to be the Entrant. Authorized subscriber is the natural person who is assigned the email address by the Internet Service Provider, online Service Provider or other organization responsible for assigning email addresses. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Contest or the Contest Site or acting with intent to annoy, abuse, threaten, or harass any other contestant, Sponsor or to otherwise be acting in violation of these Official Rules. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE THE CONTEST SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO DISQUALIFY SUCH PERSON FROM THE CONTEST.

Except where prohibited by law, as a condition of participation in the Contest each Entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in the State of New York, County of New York; (2) any and all claims, judgments, and award shall be limited to actual out of pocket costs incurred but in no event attorneys fees, and (3) no punitive incidental, special , consequential or other damages including without limitation, lost profits may be awarded, and (4) Entrant hereby waives all rights to claim special damages and all rights to have such damages multiplied or increased. All issues, questions and disputes concerning the validity, interpretation and enforceability of these Official Rules shall be governed by and construed in accordance with the laws of the State of New York applicable to contracts made and performed entirely therein.
